Below is a combined Terms of Service (“Terms”) that applies to both business entities (“B2B”) and private individuals (“Consumers”). By accessing or using AI SENSE’s website, APIs, or any related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not accept any part of these Terms, please discontinue use of our Services.
1. Introduction
Parties & Scope
- AI VISIONS AS (“AI SENSE,” “we,” “us,” or “our”) operates the Services from Oslo, Norway.
- These Terms govern the relationship between AI VISIONS and the user (“you” or “your”), whether you are acting on behalf of a business entity or as a private individual.
Age Requirement
- If you are a private individual, you must be at least 18 years old (or have reached the age of majority in your jurisdiction) to use our Services.
- If you are accessing or using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
Acceptance of Terms
- By creating an account, using our APIs, or otherwise engaging with our Services, you confirm that you have read, understood, and agree to these Terms.
2. Accounts & Registration
Account Information
- You may need to create an account to access certain features of the Services. You agree to provide and maintain accurate, current, and complete information.
- You are responsible for all activity under your account. Please safeguard your account credentials.
Personal vs. Business Accounts
- Private Individuals: You may register an account for personal use, subject to any consumer protection laws in your jurisdiction.
- B2B: If you register an account on behalf of a company or organization, you affirm that you have the authority to bind it to these Terms.
3. Our Services
License Grant
- We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services, subject to your compliance with these Terms.
- This license is for your personal or internal business use and may not be sublicensed or resold without our explicit written permission.
Usage Restrictions
- You agree not to use the Services for any unlawful or unauthorized purpose.
- You shall not interfere with or disrupt the security, integrity, or performance of our Services.
- You shall not reverse engineer, decompile, or otherwise attempt to extract the source code of our software or APIs.
Service Modifications
- We may modify, suspend, or discontinue any aspect of the Services at any time. We will try to provide reasonable notice if such changes materially affect your use of the Services.
4. Fees and Payment
Free vs. Paid Services
- Some of our Services may be offered free of charge, while others require payment of fees or subscriptions. The specific terms, including pricing, will be presented separately (e.g., on order forms or invoices).
Payment Terms (B2B)
- If you use paid Services on behalf of a business, you agree to pay all fees in accordance with the terms presented in the applicable order form or invoice.
- Unless otherwise agreed, invoices are due upon receipt or within the period stated on the invoice. Late payments may incur interest charges as permitted by law.
Payment Terms (Consumers)
- Consumers will be informed of any fees and payment schedules at the time of purchase. Your statutory consumer rights, including any right to cancel or receive refunds, may vary based on your jurisdiction.
Taxes
- All fees are generally exclusive of any taxes or levies. You are responsible for all such charges if and as they apply in your jurisdiction.
5. User Content & Data
User Content
- You retain any ownership rights to content or data you submit to us in the course of using the Services (“User Content”).
- By submitting User Content, you grant AI VISIONS a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and modify your User Content solely for the purpose of providing and improving the Services.
Confidentiality (B2B)
- In a B2B context, each party may share confidential or proprietary information with the other (“Confidential Information”). Both parties agree to protect such information and not to disclose it to unauthorized third parties.
6. Privacy & Data Protection
Your use of the Services is subject to our Privacy Statement (available on our website). By using our Services, you acknowledge that you have read and understood how we collect, use, and protect personal information. For Consumers, local data protection and privacy laws may provide additional rights.
7. Warranties & Disclaimers
Service Quality
- We strive to provide the Services in a professional and commercially reasonable manner. However, the Services are provided on an “as is” and “as available” basis.
- Except as required by law (including consumer protection laws), we disclaim all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Consumer Protections
- If you are a Consumer, you may have legal rights in your jurisdiction that stipulate specific quality standards or remedies for defective services. These rights are not superseded by these Terms.
8. Limitation of Liability
No Indirect Damages
- To the fullest extent permitted by law, AI VISIONS shall not be liable for any indirect, incidental, special, consequential, or punitive damages (e.g., lost profits, business interruption).
- For Consumers, this limitation may not apply in certain jurisdictions if prohibited by law.
Aggregate Liability
- In no event shall AI VISIONS’ total liability arising out of or related to these Terms exceed the amount you paid (if any) for the Services in the 12 months preceding the event giving rise to liability.
- If you are a Consumer, any limitation of liability is subject to local consumer protection laws.
9. Indemnification
B2B
- If you are using the Services on behalf of a business, you agree to indemnify, defend, and hold harmless AI VISIONS from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of your breach of these Terms or violation of any third-party rights.
Consumers
- As a Consumer, you agree to use the Services in accordance with these Terms and any applicable law. You may be responsible for damages if your misuse of the Services causes harm to AI VISIONS or others.
10. Termination
Termination by You
- You may cease using our Services at any time. If you wish to delete your account or terminate any agreement, please contact us at support@aivisions.no.
Termination by AI SENSE
- We may suspend or terminate your access to the Services if you violate these Terms or if we are required by law to do so.
- In a B2B context, we may also terminate or suspend the Services if invoices remain unpaid beyond the stated due date.
Effects of Termination
- Upon termination, all rights granted under these Terms immediately cease. The provisions regarding intellectual property, confidentiality, limitation of liability, indemnification, and other sections intended to survive termination remain in effect.
11. Governing Law & Dispute Resolution
Governing Law
- These Terms are governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions.
- If you are a Consumer, mandatory consumer protection laws in your home jurisdiction may also apply.
Dispute Resolution
- For B2B disputes, the parties agree to submit to the exclusive jurisdiction of the Norwegian courts.
- For Consumers, any dispute arising out of or related to these Terms shall be resolved in accordance with applicable consumer laws and may be brought in a court competent under those laws.
12. Changes to These Terms
We may update these Terms from time to time. If we make significant changes, we will post the revised Terms on our website and/or provide notice by email. Your continued use of the Services after such changes indicates your acceptance of the revised Terms.
13. Miscellaneous
Entire Agreement
- These Terms, along with any separate written agreements (e.g., order forms, invoices), constitute the entire agreement between you and AI SENSE regarding the Services.
Severability
- If any provision in these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Assignment
- You may not assign or transfer these Terms without AI VISIONS’ prior written consent. AI VISIONS may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure
- Neither party will be liable for delays or failure to perform any obligation under these Terms due to events beyond their reasonable control (e.g., natural disasters, strikes, internet disturbances).
No Waiver
- Failure by AI VISIONS to enforce any right or provision of these Terms shall not be deemed a waiver of any such right or provision.
